Preamble
We, the members of the International Organization For African Americans Supporting Sacred Knowledge Guardians of Africa (hereafter “The Association”), in order to empower individuals from the African Diaspora and the Global African Family and provide an organic alternative to cyborg-transhumanism for human evolution by resuscitating and promoting the original reality, common utility and high social value of mastering the sacred universal laws evidenced by advanced natural abilities of the Human Mind and body, do hereby establish this constitution.
As a Limited Cooperative Association and Public Benefit Company, we recognize the importance of safeguarding our autonomy and independence. Therefore, we declare our commitment to operate as a Non-Governmental Organization (NGO), free from undue interference by external entities.
This constitution outlines the principles, structure, and responsibilities of our organization. By adhering to these provisions, we aim to honor the ancient heritage of Tchabagadi (The Great [Black] Nation), uplift our community, and advance the pursuit of higher knowledge.
Article I: Name and Purpose
Section 1: Name
The legal entity herein established shall bear the distinguished appellation of the International Organization For African Americans Sponsoring Sacred Knowledge Guardians of Africa (The Association).
Section 2: Purpose
The noble purpose of the Association is threefold:
- Support and Sponsorship of Sacred Wisdom Keepers in the Global Black Community, especially in the Global African Family: Our foremost duty lies in identifying and honoring individuals proven to harbor sacred African wisdom. With consent of our ancestors, we shall verify, respectfully declassify and document their extraordinary abilities through recorded videos or live presentations. By fostering a global community, we seek to instill reverence for the original knowledge and ensure its perpetuation.
- Re-branding Sacred Wisdom Keepers: In our pursuit of cultural elevation, we resolve to reshape the perception of sacred wisdom keepers within the Black community. We aspire to accord them the same esteem and honor bestowed upon wisdom keepers of other ethnic communities.
- Inspiration of Black Minds: Guided by our unwavering commitment, we inspire members of the Global African Family to embark on a profound exploration—the revelation of their innate mental prowess. Through meticulously curated educational resources, we operate to enlighten their path toward self-discovery and supernatural empowerment.
Article II: Organizational Structure
Section 1: Legal Status
- Limited Cooperative Association & Public Benefit Corporation: The Association shall operate as an Limited Cooperative Association, Public Benefit Corporation and Non-Governmental Organization, adhering to the principles set forth in this constitution.
- 501©10 Similarity: Our operational guidelines shall closely align with the provisions of section 501©10 of the Internal Revenue Code.
Section 2: Headquarters
The headquarters of the Association shall be initially located virtually at https://members.ioaskga.com and then phyically established and operated in Atlanta, GA until the first official territory Governed and Administered by the African Diaspora Government is established within the borders of the United States. At that time, the headquarters shall be relocated to the said territory.
Section 3: Chapters
The Association may establish chapters beyond its virtual and physical headquarters in Atlanta, GA. These chapters, while primarily for fellowship purposes, shall adhere to directives issued by the headquarters. Their existence shall enhance our global reach and impact.
Article III: Governance
- High Council: The High Council, composed of verified sacred wisdom keepers shall provide guidance on community impact projects and major decisions for the organization.
- Executive Board: The executive board, comprising appointed officers, shall oversee the organization’s strategic direction, financial management, and policy decisions.
- Chapter Board: The chapter board, composed of appointed officers, shall preside over a regional office and execute the directives from the executive board from that regional office.
- Department Board: The department board, composed of appointed officers, shall oversee all operations for the respective department they are appointed to
- Advisory Board: The Advisory Board, comprised of seasoned professionals and experts in all fields relevant to the mission and goals of our organization, shall provide professional insight, resources and assistance to the executive board and organization departments
- Ambassadors: In territories within and outside of the United States, appointed Ambassadors shall search for and facilitate communications with sacred wisdom keepers and execute other directives from the Executive Board.
Article IV: Subordinate Entities
Section 1: Establishment and Purpose
- The Association shall, from time to time establish subordinate entities.
- Subordinate Entities shall function within the framework of The Association’s mission and core values.
Section 2: Roles and Responsibilities
- While subordinate to The Association, Subordinate Entities shall maintain operational independence, but their endeavors shall align with The Association’s overarching objectives.
Section 3: Financial Arrangements
- Financial resources of Subordinate Entities shall remain separate from The Association’s general funds. Subordinate Entities shall sustain itself through investments, grants, sponsorships or revenue generated from its their projects.
- The Association assumes no liability for Subordinate Entities contractual obligations, debts, or legal matters. Subordinate Entities shall operate independently in financial and legal affairs.
Section 4: Reporting and Collaboration
- Subordinate Entities shall collaborate with The Association on joint projects, events, and initiatives. The output of Subordinate Entities shall contribute to The Association’s mission.
- Subordinate Entities shall submit an annual report to The Association, detailing its activities, achievements, and financial status. The Association shall acknowledge Subordinate Entities contributions in official communications.
Section 5: Amendments
5.1 Amendments to Subordinate Entitie's Role:
Any changes to Subordinate Entities role, dissolution, or significant alterations require approval by The Association’s executive board. Amendments shall be made in accordance with the decision-making authority vested in The Association to ensure alignment with its mission and objectives.
Article V: Liability
Section 1: Assumption of Liability
All liability arising from The Association’s activities shall be assumed by our LCA. This arrangement ensures that individual members are shielded from personal liability.
Article VI: Membership
Section 1: Eligibility
Membership in The Association is open exclusively to Black People and Majority Black Owned Businesses, especially of the African Diaspora and Continental African Family.
Section 2: Membership Types
- Individual Members: These esteemed participants shall enjoy full membership privileges, including access to our facilities, programs, members-only events, meeting minutes, newsletters, and Zoom meetings.
- Business Members: Majority Black Owned Enterprises and organizations aligned with our mission may join as business members to enjoy the access to contracting with out organization or servicing our membership.
Section 3: Foundational Members
The foundational members of the Association shall be the Chairman, Knox Saint Michael Ewers and Heaven On Earth Pictures, LLC
Section 4: Membership Cards & Plaques
- All individual members shall receive personalized membership cards bearing their Picture, Name, Date of Birth, Languages Spoken, with unique member numbers and barcodes .
- Business members shall receive a plaque to hang in their business location, be listed in our business directory and receive recognition for their commitment
Section 5: Subscribers
Individuals who do not meet the eligibility criteria for full membership may still engage with The Association as subscribers. Subscribers shall receive customized newsletters and subscriber content to inspire them towards higher disciplines.
Section 6: Onboarding
- All membership and subscription processes shall occur through our official website, www.Ioaskga.com. The website, along with associated mobile apps (available on both iOS and Android platforms), shall serve as the registration gateways for engagement.
Article VII: Departments
Section 1: Asset Management
- The Asset Management department shall acquire, maintain, and dispose of assets in alignment with our mission and 501(c)10 standards, guided by the directives issued from the Executive Board.
Section 2: Members
- The Members department shall provide customer service to the members and;
- Conduct surveys and polls to compile monthly reports detailing demographics, interests and morale of our members
Section 3: Content
- The Content department shall film sacred wisdom keeper’s interviews and demonstrations and;
- Produce other content and requested by other departments to advance the mission and goals of the organization including film, music, podcasts, graphics and art.
Section 4: Information Technology
The information technology department shall diligently maintain the functionality and updated information for organization’s website and private network for all departments.
Section 5: Legal
- The Legal department shall ensure all organizational operations adhere to local and international laws and;
- All contracts are negotiated in the best and mutual interests of the organization and its partners.
Section 6: Treasury
- The Treasury department shall approve and oversee all financial transactions for the organization and;
- Keep meticulous records of all monetary credits and debits of the organization.
Section 7: Human Resources
- The Human Resources department shall recruit, research, and hire qualified staff members with adequate expertise aligned with our department’s operations.
Section 8: Science Technology Engineering Mathematics
The STEM department shall employ conventional scientific and engineering methods to provide scientific data regarding demonstrations of sacred wisdom and to further the mission and goals of our organization as requested by Executive or Department board members
Section 9: Events
- The Events department shall plan public and private events, spreading awareness and fostering internal fellowship and;
- Collaborate with all departments to produce and maintain a master calendar for the organization.
Section 10: Public Relations
- The Public Relations department shall strategize to portray our sacred wisdom keepers as modern-day prophets with high morals and our Members as seekers of the truth and;
- challenge negative stereotypes about black people demonstrating supernatural ability and;
- consistently keep organization activities in the press headlines. Their campaigns.
Section 11: Marketing
- The Marketing department shall strategically promote paid memberships and subscriptions to drive our membership count and;
- All organization events and;
- Sales of organizational merchandise listed in the store page on our website
Section 12: Merchandise
- The Merchandise department shall create branded items to feature in our website's store page and enhance our visibility within the community and;
- Foster brand loyalty.
Section 13: Sacred Knowledge
- The Sacred Knowledge department shall identify, verify and execute working agreements with guardians of sacred knowledge and;
- Ensure the well-being of guardians, including comfortable living conditions, healthcare and;
- Produce newsletters authored by sacred knowledge keepers and;
- Locate and Review literature to provide members with high quality information to inspire and assist their journey to supernatural ability.
Section 14: IOASKA
The Initiation department shall organize members interested in enhancing their mental power to unlock supernatural abilities, provide resources, literature, and group training sessions, events for morale, seminars and other actions to motivate and propel their transformative journey.
Section 15: Executive
The Executive department shall hold regular meetings to make critical decisions for our organization’s development, sign contracts and issue directives to organization departments, chapters and Ambassadors.
Article VIII: Conduct
Section 1: Evolutional Culture
The Association and its members shall create a supportive learning environment that encourages awareness of the human’s ability to transform, evolve and unlock advanced abilities and shall refrain from creating a culture where members feel incapable of transformation or inferior.
Section 2: Ethical Behavior and Integrity
Upholding Ethical Principles
At the core of our organization lies a commitment to unwavering ethical conduct. Each member, whether a wisdom keeper, volunteer, staff, general member or etc. shall adhere to the highest standards of integrity.
Transparency and Accountability
Transparency is our guiding light. We shall operate with openness, ensuring that our decisions, processes, and financial transactions are accessible to scrutiny. Accountability extends beyond mere compliance; it is our pledge to answer for our actions and outcomes.
Conflict Resolution
Disagreements are inevitable, but we resolve them with grace and respect. Members shall engage in constructive dialogue, seeking common ground and solutions that align with our mission. Conflict resolution shall be fair, impartial, and devoid of personal bias.
Section 2: Respect and Dignity
- Wisdom Keepers as Elders: Regardless of age, verified wisdom keepers are revered as Elders. Their knowledge and contribution to our organization deserve utmost respect. We shall honor their legacy and learn from and be inspired by their wisdom and/or demonstrations, recognizing that their insights enrich our collective journey.
- Avoiding Disparagement: Members shall refrain from making disparaging statements about the association, fellow members, or wisdom keepers. Our words shall uplift, inspire, and foster unity. Constructive criticism is welcome, but it shall be expressed with tact and empathy.
- Harassment-Free Environment: We create a safe space where all members—regardless of gender, race, or background—feel respected and valued. Harassment, discrimination, or any form of harmful behavior is strictly prohibited. Our commitment to dignity extends to every interaction.
Section 3: Whistleblower Protection
- Encouraging Vigilance: Members who witness unethical behavior or violations of our principles shall feel empowered to speak up. Whistleblowers play a crucial role in maintaining our integrity. Reporting concerns shall not result in retaliation; rather, it shall be met with gratitude.
- Confidentiality and Support: Whistleblower identities shall remain confidential. We shall provide a secure channel for reporting, ensuring that those who raise alarms are protected. The association stands by its whistleblowers, recognizing their courage and commitment to our shared values.
Article IX: Dissolution
Section 1: Dissolution Date
- The Association shall be dissolved on May 2, 2036. This predetermined date ensures clarity and allows for proper planning.
- Prior to dissolution, the organization shall conclude all pending activities, settle outstanding matters, and fulfill its remaining commitments.
Section 2: Asset Distribution
- In accordance with 501©10 regulations, the distribution of assets shall adhere to the following principles:
- No part of the organization’s net earnings or assets shall benefit any private individual or member.
- Remaining assets shall be used exclusively for exempt purposes, furthering our mission and community impact.
- Upon dissolution, any remaining assets shall be transferred to another tax-exempt organization with a similar purpose. This ensures continuity of our legacy.
- As the entity assuming liability, Heaven on Earth Pictures, LLC shall oversee the proper distribution of assets. Their fiduciary duty lies in ensuring compliance with 501©10 guidelines.
- The transfer of assets shall be conducted with care, ensuring that the legacy of The Association continues to serve its intended purpose.
Article X: Amendments
Section 1: Proposal
- Any member may propose amendments to this constitution.
- Proposals shall be submitted in writing to the executive board’s subcommittee for constitutional amendments, who shall review proposals and submit to the executive board proposals deemed worthy of Executive Review.
- The Executive board shall review proposed amendments received by the subcommittee for constitutional amendments and consider their alignment with our mission, legal requirements, and overall impact then decide.
Section 2: Approval Process
- Proposed amendments shall be presented to the general membership for approval. A majority vote by eligible members shall be required for adoption.
- All members shall be informed of proposed amendments well in advance of the voting process. Transparency ensures an informed decision-making process.
Section 3: Record Keeping
- All approved amendments shall be documented and maintained as part of the official records. These records shall be accessible to members upon request.
- Amendments shall be published on our official website and communicated through other relevant channels.
